TRUEFIRMS TERMS OF USE

The terms “we”, “us”, “our” refer to TrueFirms. The term “you”, “users”, “buyers” or “service provides” refers to users who visit the TrueFirms website (“www.truefirms.co”) and/or contribute content to TrueFirms via the Website, email, telephone.

If you are entering these Terms on behalf of a company or other legal entity, then you represent that you have the authority to bind such entity and its affiliates to the Terms. In this case, "you" shall also refer to your respective entities as well. If you do not have such permission or choose not accept all of these terms in totality, do not use TrueFirms' services.

Please be sure to come back frequently on this page to check out the most current version of our Terms. We have full rights, at any time and without prior notice, to modify them in any way we want. Your continued use or access signifies that you accept the modified terms.

Eligibility 

You must be 18 or older in order to use the Services, including registering for an account, using the Website and submitting reviews.   

Account Registration

TrueFirms respects your privacy and maintains the confidentiality of your information. You are responsible for providing accurate, current and complete account registration information at all times. If you provide any inaccurate, out-of-date or incomplete account details when registering an account with TrueFirms or if you change such details afterwards without our prior knowledge then we may refuse to keep the website open for you in order to continue using it as well as not give Services in future periods; additionally we reserve a right to suspend/terminate the website's operation on grounds of violating our agreement terms set forth by us. You are responsible for ensuring the confidentiality and security of your username and password; we cannot be held liable for any loss due to failure on your end. 

Your Responsibility For the Content You Submit 

The Services enable you to submit content such as reviews, comments, messages, and other content that may or may not be viewable by other users.

TrueFirms will not be responsible if any of your User Content is offending or unlawful. You have to take on all responsibility for any content you submit, including the possibility of someone relying on this content and then being exposed to liability. We reserve the right, at our own expense, to assume the exclusive defense and control of such disputes, and in any event, you will cooperate with us in asserting any available defenses.

You are responsible for all of your submitted content. Once you submit it, you can't take it back. Any content that is submitted must be accurate and up to date. You must have the rights necessary in order to submit such materials without violating any third-party rights.  

Your Risk in Using User Content

You are responsible for the risks involved in using user content. TrueFirms does not verify, adopt, ratify or sanction any of this content and you must evaluate it on your own. We do not endorse products mentioned or ranked by third parties and we cannot guarantee that they contain accurate information. You might consider some User Content to be offensive or objectionable as well but know that this is a risk associated with using the Services. 

TrueFirms License to User Content

When you upload User Content to the Service, you grant us a worldwide, perpetual, irrevocable, royalty-free, non-exclusive, transferable and sub-licensable license, subject to these Terms, to use the User Content for any purpose, including to use, publish, reformat, copy, distribute, reproduce, modify, edit, adapt, publicly perform, translate, and create derivative works from such User Content, in whole or in part, in any format or medium now known or developed in the future, including without limitation for providing, promoting and redistributing part or all of the Services in any media formats and through any media channels, without any further consent, notice and/or compensation to you or to any third-parties. This includes granting us an unrestricted right to repurpose review content into PDF case studies for service providers listed on TrueFirms.

Feedback

We appreciate your feedback about our service, so please feel free to contact us with any thoughts or suggestions. Any and all of your information will automatically be the property of TrueFirms and you hereby assign any rights in such ideas to TrueFirms without payment from us.

Third Party Data on Service Providers

When Service Providers sign up with TrueFirms, they grant us the right to collect and display additional third party data. This includes open source research as well as data collected from credit reporting agencies.

Prohibited Activities

You agree not to use the Services in any way that is unlawful, deceptive, malicious or harmful and will not assist in the following.

• Duplicate, license, sublicense, publish, broadcast, transmit, distribute, perform, display, sell, rebrand, or otherwise transfer information found on TrueFirms (excluding User Content submitted by you) except as permitted in these Terms, or as expressly authorized by TrueFirms;
• Remove or modify any copyright, trademark, or other proprietary rights notice that appears on the Services;  
• Collect, use, copy, download, or transfer any information, including, but not limited to, personal information obtained from TrueFirms except as expressly permitted in these Terms or as the owner of such information may expressly permit;
• Attempt to or actually override any security component included in or underlying TrueFirms; 
• Use manual or automated software, devices, scripts robots, other means or processes to access, “scrape,” “crawl” “spider,” or index any web pages or any other portion of the Services;
• Provide compensation or receive compensation in exchange for writing or requesting the removal of content, except for incentivized reviews that comply with our Review Guidelines.
• Contains software viruses, worms, or any other computer code, files or programs that could interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment of TrueFirms or any user of TrueFirms;
• Reverse engineer, decompile, disassemble, decipher or otherwise attempt to derive the source code for the Services or any underlying intellectual property used to provide the Services, or any part thereof;
• Log in using an alias that masks your true identity.
• Engage in “framing,” “mirroring,” or otherwise simulating the appearance or function of TrueFirms' Services or content except as expressly permitted by TrueFirms;

Ownership and Intellectual Property

You and TrueFirms have different types of ownership. You own all that you submit to the Services, but TrueFirms owns anything other than User Content, including everything from graphics and design to code compilation. Please note that these Terms do not provide for any rights other than those explicitly stated here: TrueFirms exclusively owns all right title and interest in Service related things. You will not change, modify or obscure any of the copyright, trademark and other proprietary rights notices that are used in TrueFirms' Services. All registered trademarks and trade names of TrueFirms mentioned herein are property of their respective owners.

Copyright Policy

TrueFirms respects the intellectual property rights of others and expects users to do the same. We are prepared to respond on behalf of copyright holders when we receive a notice that their work is being infringed upon. If you believe that User Content has been copied in such a way as to be in violation, please provide our copyright agent with the following information:

• identification of the copyrighted work claimed to have been infringed;
• a physical or electronic signature of the copyright owner or a person authorized to act on their behalf;
• a statement that the information in the notification is accurate, and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.
• a statement by you that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law;
• Your contact information, including your address, telephone number, and an email address;

Payment

When you purchase a Sponsorship or any other service that we offer, either on a pay-as-you go basis or by subscription, you agree to the fees and their related costs as they become due plus all taxes. You also agree to reimburse us for any collection costs and interest incurred if payments are overdue. The subscription can only stop if and when you cancel your subscription via email.

The fees are required until you cancel or end your subscription. All applicable taxes will be calculated based on the billing information you provide when purchasing a Sponsorship. You may cancel or suspend your purchase of Sponsorship at any time by contacting us.

If you are Dissatisfied with TrueFirms or anything related to it, you may shut down your account and stop using the service. Terminating these Terms constitutes your sole remedy for any dissatisfaction or harm resulting from them.

Limitation of Liability 

To the fullest extent permitted by law, in no event shall TrueFirms be liable to you or any third-party for personal injury, property damage, lost profits, costs of procurement of substitute products. Computer failure or malfunction are excluded and outside our control under these terms.

Access to and use of the service is at your own discretion and risk. 

Indemnification

You agree to indemnify, defend and hold TrueFirms harmless against any costs, damages or losses arising from your failure to comply with these terms. This includes circumstances in which you submit User Content through TrueFirms.

Choice of Law and Mandatory Binding Arbitration 

You shall provide notice in writing for all exceptions to this Agreement. Personal delivery, mailing or sending a facsimile constitute satisfactory and sufficient notice under this agreement. Notices to you shall be addressed to the system administrator designated by you for your relevant Services account, and in the case of billing-related notices, to the relevant billing contact designated by you.

Links to Third-Party Sites

TrueFirms may contain links to third party websites. You are responsible for evaluating whether you want to access or use a third-party site. TrueFirms is not responsible for and does not endorse any content, services, products or other materials on or available from the third-party sites. Accordingly, if you decide to use the linked websites we do so at your own risk and our terms of service only apply in part with regards to such usage; we shall have no responsibility whatsoever if any damage should be caused by it directly or indirectly.

General

Entire Agreement & Severability

These Terms represent the entire understanding between you and TrueFirms with respect to your use of the Services, including superseding any prior agreements.

If any provision of the Terms is found by a court or arbitrator to be unenforceable, that provision will be modified so as to render it enforceable. If the modification renders it invalid, void, illegal or void and inoperable in part or whole then such provisions shall not affect these Terms otherwise.

Waiver of Rights and Injunction 

We reserve the right to act with respect to any breach of the terms by you or others, and our failure to take action before does not waive that right. Except as expressly and specifically contemplated in these Terms, no representations, statements, consents , waivers or other acts are legally binding unless they are documented in a physical writing signed by an authorized officer at TrueFirms.

Assignment of Rights

You may not assign or delegate any rights and obligations under the Terms. Any purported assignment shall be ineffective, We can freely assign all rights and obligations without notice to you. TrueFirms may also substitute for any third party which assumes our rights and obligations under the Terms with no possibility of objection from you in advance.
